Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an entity) and Orion Intelligence Systems LLC regarding your access to and use of our website, AI workflow automation platform, APIs, and related software tools.
1. Agreement and Operator
Orion Intelligence Systems LLC ("Orion," "we," "us," or "our") is the service operator and contracting entity. For the purposes of these Terms:
- "Platform" or "Services" means Orion's software applications, workflow orchestration engine, APIs, and operational interfaces.
- "User" or "Customer" means any individual or business entity accessing or utilizing the Platform.
- "Account" means a registered user profile or organizational workspace on the Platform.
- "Input" means all data, text, documents, files, images, instructions, or parameters submitted to the Platform by Customer.
- "Output" means structured reports, classifications, extracted fields, summaries, or automated workflow actions generated by the Platform.
- "Third-Party Services" means external software, infrastructure, cloud platforms, or foundation models integrated with or utilized by the Platform.
2. Eligibility and Authority
You must be at least 18 years of age and legally permitted under applicable law to enter into these Terms. If you access or use the Platform on behalf of a company, business, or organizational entity, you represent and warrant that you possess full legal authority to bind that organization to these Terms.
3. Accounts
To access the Platform, you may be required to register for an Account. You agree to:
- Provide accurate, current, and complete Account registration information.
- Maintain the security and confidentiality of your credentials and access keys.
- Ensure that only authorized users within your organization access your Account.
- Remain fully responsible for all activities and workflow executions occurring under your Account credentials.
- Notify Orion immediately at [email protected] upon discovering any unauthorized access or security breach.
4. Product Access
Subject to compliance with these Terms and applicable access plans, Orion grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Platform solely for Customer's internal business operations. All rights not expressly granted to Customer remain reserved by Orion. Nothing in these Terms transfers ownership of the Platform, software, or underlying code to Customer.
5. Acceptable Use
Customer agrees not to use, or permit any third party to use, the Platform to:
- Violate any applicable federal, state, local, or international law or regulation.
- Infringe, misappropriate, or violate intellectual property, privacy, or publicity rights.
- Upload or transmit malicious code, viruses, malware, trojan horses, or destructive payloads.
- Circumvent, bypass, or attempt to disable security controls, authentication mechanisms, rate limits, or access restrictions.
- Decompile, reverse engineer, disassemble, or derive source code from the Platform, except to the extent such restriction is expressly prohibited by law.
- Perform abusive automated access, scraping, or load testing without prior written permission.
- Engage in fraudulent, deceptive, harmful, or misleading workflow automation.
- Process or submit personal data or restricted information without holding all necessary rights, consents, and authorizations.
6. Customer Inputs
Customer retains responsibility for all Inputs submitted, uploaded, or transmitted to the Platform. Customer represents and warrants that it holds all necessary rights, licenses, permits, and consents required to submit such Inputs and authorize Orion and its processors to process such Inputs for workflow execution.
7. AI-Generated Outputs
The Platform incorporates artificial intelligence processing for tasks such as document classification, data extraction, and content structuring. Customer acknowledges and agrees that:
- Outputs generated by AI systems may contain inaccuracies, omissions, or misclassifications.
- Outputs generated for different users handling similar inputs may not be unique.
- Customer must review, verify, and validate important Outputs before executing sensitive operational or financial decisions.
- Human judgment and operational oversight remain mandatory for all automated workflow actions.
- Outputs do not constitute guaranteed professional, legal, tax, or financial advice.
- Customer assumes full responsibility for its reliance on and final use of any Output or automated workflow follow-up action.
8. Ownership
Platform Ownership: Orion retains all rights, title, and interest (including all patent, copyright, trademark, and trade secret rights) in and to the Platform, architecture, software, integration code, and operational workflows.
Customer Inputs: As between Orion and Customer, Customer retains ownership of all Customer Inputs.
Outputs: Subject to Customer's compliance with these Terms and to the extent permitted under applicable law and third-party provider terms, Customer owns the Outputs generated specifically for Customer by the Platform.
License to Orion: Customer grants Orion a worldwide, limited, non-exclusive license to host, process, reproduce, and transmit Customer Inputs solely to operate, maintain, provide, and secure the Platform.
Feedback: If Customer provides feedback, suggestions, or product enhancement requests to Orion, Orion may use such feedback without restriction or obligation.
9. Third-Party Services
The Platform relies on third-party service providers for cloud hosting, artificial intelligence foundation models, infrastructure security, authentication, and communications. Third-Party Services are subject to their respective terms and conditions. Orion is not responsible for interruptions, changes, or limitations imposed by Third-Party Services.
10. Fees
Where applicable under commercial access agreements or order forms, Customer agrees to pay all fees associated with its selected tier or usage volume. Prices, billing frequencies, taxes, usage-based rates, renewals, and cancellation terms will be specified in the applicable ordering document. Overdue balances may result in Account suspension or termination.
11. Beta Product Status
Customer acknowledges that early-access, preview, or beta platform features may contain bugs, experience service interruptions, produce incomplete results, or be modified or discontinued at any time. Early-access features are provided "AS-IS" without warranty of any kind.
12. Availability and Changes
Orion reserves the right to modify, enhance, update, or temporarily suspend features of the Platform for maintenance, security updates, or product evolution. Orion will make commercially reasonable efforts to provide advance notice of material changes or scheduled downtime.
13. Security
Orion implements commercially reasonable technical and organizational safeguards designed to protect the integrity and security of the Platform. However, Customer acknowledges that no internet-connected platform or electronic storage transmission is 100% secure.
14. Disclaimers
THE PLATFORM AND ALL RELATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORION DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ORION DOES NOT WARRANT THAT THE PLATFORM WILL OPERATE UNINTERRUPTED OR ERROR-FREE.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORION INTELLIGENCE SYSTEMS LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM. ORION'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT PAID BY CUSTOMER TO ORION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
16. Suspension and Termination
Orion reserves the right to suspend or terminate Customer's access to the Platform immediately if Customer breaches these Terms, poses a security threat, engages in fraud, fails to pay applicable fees, or if required by law or product discontinuation.
17. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming.
18. Changes to Terms
Orion may update these Terms from time to time. Material revisions will be notified by posting the updated Terms on our website with a revised effective date. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
